We are actively involved with emerging growth companies, delivering a multidisciplinary combination of corporate, commercial, intellectual property, tax, and employment skills.

The general corporate advice we give includes:

  • advising clients on setting up branch offices in the Netherlands and the Dutch law aspects of transactions in which they are engaged
  • advising companies and their shareholders on issues relating to share capital and shareholder rights including advising on dividend rights, voting rights, conversion rights, redemption and transfer of shares or other securities and financial assistance
  • advising on issues involving board structure, board composition and decision making, including membership qualifications, conflict-of-interest matters, nominating procedures, one and two tier board structures, internal regulations and disclosure and reporting requirements
  • advising clients in connection with annual general meetings and board meetings
  • advising clients on adoption and amendment of articles of association and internal regulations
  • advising on compliance with the Tabaksblat Code, the Dutch corporate governance code, and related corporate governance requirements representing shareholders and board members in legal disputes, including proceedings before the Enterprise Chamber of the Court of Appeals in Amsterdam
